FlashMath Terms and Conditions (US)

These Terms and Conditions ("Terms") are a binding agreement between you and FlashMath LLC ("FlashMath," "we," "us," or "our") governing your access to and use of FlashMath websites, applications, and related services (collectively, the "Services").
By creating an account, clicking to accept these Terms, purchasing a subscription, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. Scope and Related Terms
- These Terms apply to all users of the Services in the United States.
- Our Privacy Policy explains how we collect, use, and disclose personal information.
- Additional terms may apply to specific features, promotions, or content. If there is a conflict, the additional terms control for that feature.
2. Eligibility and Account Requirements
- To create a standalone account, you must be at least 13 years old.
- Users under 13 may access the Services only through a parent-managed linked account, where offered, and only after legally required verifiable parental consent is obtained.
- Users under 13 may not create standalone accounts.
- Users age 13 or older may register for and use accounts, as applicable law permits.
- If you are under the age of majority in your state, you represent that you have any consent required by applicable law to use the Services and purchase subscriptions.
- You must provide accurate, current, and complete registration information and keep it updated.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, except as otherwise required by law.
3. Family Linking and Minor Permissions
- We may offer optional family-linking features that allow parent accounts to link and manage other accounts.
- Under-13 access is permitted only through linked parent-managed accounts and only with legally required parental consent.
- By creating or managing a linked account for a minor, the parent or legal guardian represents they are authorized to act for that minor and agrees to these Terms on the minor's behalf to the extent required by law.
- Linked account holders may have parental controls applied, including feature access restrictions and permissions.
- Minors ages 13 to 17 may receive elevated privileges only with parental consent where those privileges are offered.
- Parents may revoke linked-account permissions and elevated privileges at any time.
- If a parent account is removed from a family relationship, linked-account permissions and linked subscription benefits may end according to the selected plan.
- Parent account holders are responsible for purchases made through parent-held payment methods on linked accounts, except where prohibited by law.
4. Acceptable Use
You agree not to:
- Violate any applicable law or regulation.
- Harass, abuse, threaten, or harm another person.
- Post or transmit unlawful, defamatory, infringing, or otherwise harmful content.
- Cheat, exploit bugs, or use unauthorized automation.
- Attempt to bypass age gates, parental controls, account restrictions, or security measures.
- Reverse engineer, decompile, or otherwise attempt to derive source code except where legally permitted.
- Interfere with or disrupt the Services or connected systems.
- Use the Services for unauthorized commercial purposes.
5. User Content and Conduct
- You retain ownership of content you lawfully submit ("User Content").
- You grant FlashMath a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display User Content solely to operate, improve, and secure the Services.
- You represent you have all rights necessary to submit User Content.
- We may moderate, remove, or restrict User Content or account access where we believe it violates these Terms, our policies, or applicable law.
6. Virtual Currency and Virtual Items
- The Services may include virtual currency (for example, "Coins") and virtual items (for example, cosmetics, badges, and profile assets).
- Virtual currency and virtual items are licensed, not sold, and have no real-world monetary value.
- Virtual currency and virtual items are non-transferable except where we expressly allow.
- Virtual currency cannot be redeemed for cash or monetary value.
- We may modify, suspend, or discontinue virtual currency, virtual items, or related features at any time, subject to applicable law.
7. Subscriptions and Billing
7.1 Consumer Subscription Plans
We offer the following consumer subscription plans (current pricing published at https://flashmath.io/pricing):
- FlashMath+ — A recurring premium subscription for individual users. Monthly and annual billing options are available.
- FlashFamily — A per-child recurring subscription for parent accounts. Each linked child is billed individually at the then-current per-child rate. Monthly and annual billing options are available.
- We may also offer education-focused plans (FlashClass, FlashEdu) governed by separate education terms.
7.2 FlashFamily Pricing
- FlashFamily is billed on a per-child basis. The recurring charge is calculated as the per-child rate multiplied by the number of linked children.
- From time to time, we may offer a Year 1 annual bundle promotion that caps the first-year annual charge for a limited number of children at a discounted total. This promotion applies only to the first annual billing period and only to annual subscriptions meeting the eligibility criteria disclosed at checkout.
- After the Year 1 promotional period ends, the subscription renews at the standard per-child annual rate for all children. The renewal rate and any promotional conditions are disclosed before purchase.
7.3 Authorization and Auto-Renewal
- By purchasing a subscription, you authorize us (or our payment processor) to charge your selected payment method for the subscription fee and applicable taxes.
- Unless canceled, subscriptions renew automatically at the end of each billing period.
- Where a promotional or introductory rate applies, renewal after the promotional period is at the then-current standard rate, as disclosed at purchase.
- We will provide required pre-purchase disclosures (including the renewal rate, renewal cadence, and cancellation method) and obtain express informed consent before charging.
- Accepted payment methods currently include major payment cards and PayPal, as available at checkout.
- For current launch scope, sales tax collection/remittance is managed for Ohio transactions where applicable.
7.4 Cancellation
- You may cancel at any time through account settings or another simple method we provide.
- Unless otherwise stated, cancellation stops future renewals and your access continues through the end of the current paid period.
- Linked child accounts cannot independently cancel a parent-held subscription.
7.5 Pricing Changes
- We may change subscription fees from time to time.
- We will provide advance notice of material pricing changes when required by law.
- We may offer, modify, or discontinue promotions at any time, subject to applicable law.
7.6 Free Trials and Promotions
- FlashMath+ currently does not include a free trial.
- We may offer introductory pricing, Year 1 discounts, or other promotions from time to time.
- Promotion terms (including eligibility, duration, value, and renewal behavior) will be disclosed at checkout and may change or end at any time, subject to applicable law.
- Where a promotion results in a different renewal price, both the promotional price and the standard renewal price will be disclosed before purchase.
8. Refunds, Disputes, and Chargebacks
- Purchases are generally final and non-refundable, subject to applicable federal and state law.
- Unless required by law, no prorated refunds are provided for partial subscription periods.
- We may provide refunds or credits in limited circumstances, including duplicate charges, verified unauthorized charges, or documented technical failures.
- For potentially unauthorized transactions, contact support promptly (target within 48 hours).
- If you initiate a chargeback, we may temporarily suspend relevant account access while we investigate.
- Fraudulent refund or chargeback claims may result in account restrictions or termination.
9. Payment Processing
- Payment transactions are processed by third-party payment processors.
- Your payment transactions are also subject to the processor's terms and privacy practices.
- FlashMath does not store full payment card numbers or card security codes.
10. Intellectual Property
- The Services, including software, content, graphics, trademarks, and logos, are owned by FlashMath or its licensors and are protected by intellectual property laws.
- Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for personal, non-commercial use.
- No rights are granted except as expressly stated.
11. Feedback
If you provide suggestions, ideas, or feedback, you grant FlashMath a worldwide, perpetual, irrevocable, royalty-free license to use that feedback for any lawful purpose without compensation to you.
12. Suspension and Termination
- You may stop using the Services at any time.
- We may suspend or terminate accounts or access if we reasonably believe you violated these Terms, created legal risk, harmed users, or threatened platform integrity.
- On termination, rights granted to you under these Terms end immediately.
- Sections that by nature should survive termination (for example, intellectual property, disclaimers, limitation of liability, dispute resolution) will survive.
13. Disclaimers
- THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLASHMATH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
- We do not guarantee uninterrupted or error-free operation.
- We do not guarantee specific educational outcomes, rankings, or in-game results.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- FLASHMATH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
- OUR AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF: (a) THE AMOUNT YOU PAID FLASHMATH IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (b) USD $100.
- Some states do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless FlashMath and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Services.
- Your User Content.
- Your violation of these Terms or applicable law.
- Your infringement of third-party rights.
16. Dispute Resolution, Arbitration, and Class Action Waiver
Important: Please read this section carefully. It affects your legal rights.
16.1 Informal Resolution
Before filing a claim, you and FlashMath agree to try to resolve disputes informally by written notice. Notices must describe the dispute and requested relief.
16.2 Agreement to Arbitrate
Except for matters eligible for small claims court and claims for injunctive relief regarding intellectual property or unauthorized access, any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration.
16.3 Arbitration Rules
Arbitration will be administered by the American Arbitration Association ("AAA") under applicable AAA rules, as modified by these Terms. If AAA is unavailable, the parties will select an alternative provider.
16.4 Class Action Waiver
To the fullest extent permitted by law, disputes must be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, or private attorney general proceeding.
16.5 Opt-Out Right
You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal-inquiries@flashmath.io with subject line "Arbitration Opt-Out" and your account email.
16.6 Federal Arbitration Act
This arbitration section is governed by the Federal Arbitration Act.
17. Governing Law and Venue
Except as preempted by the Federal Arbitration Act, these Terms are governed by the laws of Ohio, without regard to conflicts-of-law rules. For disputes not subject to arbitration, the exclusive venue is state or federal courts located in Hamilton County, Ohio, and each party consents to personal jurisdiction there.
18. Changes to These Terms
- We may modify these Terms from time to time.
- If we make material changes, we will provide notice by reasonable means (for example, posting updates in the Services or emailing account holders).
- The updated Terms become effective on the stated effective date.
- Continued use of the Services after the effective date constitutes acceptance, except where additional consent is required by law.
19. Miscellaneous
- Entire Agreement: These Terms and incorporated policies are the entire agreement regarding the Services.
- Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
- No Waiver: Failure to enforce any provision is not a waiver.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
- Electronic Communications: You consent to receive notices electronically.
